Verafy is a trading name of Verafy Ltd, a company registered in England and Wales (Company Number: 17310891), with its registered office at 66 Paul Street, London, EC2A 4NA.
Verafy operates an intelligence platform at verafy.uk that provides automated due diligence, director risk scoring, and business intelligence services using publicly available data from Companies House and other public sources.
By creating an account, accessing, or using the Verafy platform, you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use the platform.
These terms apply to all users, including individuals, businesses, and organisations accessing the platform on a subscription or pay-per-use basis. By ticking the acceptance checkbox at registration, you confirm you have read, understood, and agreed to these terms. The date and version of the terms you accepted is recorded on your account.
The Verafy platform is intended solely for business and professional use. By registering for an account you confirm that you are acting in the course of a business, trade, or profession and not as a consumer.
As a result, the consumer protection provisions of the Consumer Rights Act 2015 — including the 14-day right to cancel digital content contracts — do not apply to your use of Verafy. Refund eligibility is governed exclusively by section 5 of these terms.
You must be at least 18 years old to create an account or use the platform. By registering, you confirm that you meet this age requirement. Verafy reserves the right to terminate any account found to belong to a person under 18.
If you are not authorised to enter into contracts on behalf of a business, you must not create an account or use the platform.
Verafy provides the following services through its platform:
All data presented by Verafy is sourced from publicly available records including Companies House, The London Gazette, and BAILII. Verafy does not create, fabricate, or alter any underlying data.
Beta and experimental features may be made available from time to time and are clearly labelled as such. Beta features are provided without warranty, may change or be withdrawn at any time without notice, and do not form part of the core service commitment. No refunds or service credits will be issued in connection with the withdrawal of a beta feature.
No uptime guarantee or service level agreement is provided. Verafy makes no warranty that the platform will be available at any particular time or without interruption. Planned or unplanned downtime does not entitle you to a refund or service credit. Where the platform depends on third-party data sources (including Companies House, The London Gazette, or BAILII), Verafy accepts no liability for their unavailability or errors.
Access to Verafy is provided on a subscription basis. Current pricing is displayed at verafy.uk. Subscriptions are billed monthly or as a one-off 24-hour access pass.
Payments are processed securely by Stripe. Verafy does not store your card details.
You agree to use Verafy only for lawful purposes. You must not:
By creating an account, you agree to receive transactional emails from Verafy including account verification, billing notifications, password resets, and service-related announcements. These emails are necessary for the operation of your account and cannot be opted out of while your account remains active.
Where Verafy sends marketing or promotional emails, you will be given a clear opportunity to opt out in each message. You may also update your communication preferences at any time via your account settings or by emailing support@verafy.uk.
Verafy complies with the Privacy and Electronic Communications Regulations 2003 (PECR). We will not send unsolicited marketing messages and will honour all opt-out requests promptly.
Certain subscription tiers include access to the Verafy API via personal API keys generated in your account settings. API access is subject to the following conditions:
Verafy provides intelligence and information tools only. Nothing on the Verafy platform constitutes legal advice, financial advice, or investment advice.
Risk scores, flags, and reports generated by Verafy are based on publicly available data and automated analysis. They are intended to assist due diligence — not replace it. You should always conduct your own independent legal and financial review before making any business or investment decision.
Verafy makes no warranty that data sourced from Companies House or other public sources is complete, accurate, or up to date. Public records may contain errors or omissions beyond our control.
To the fullest extent permitted by law, Verafy Ltd shall not be liable for any:
Our total liability to you in any circumstances shall not exceed the amount you have paid to Verafy in the 3 months preceding the claim.
You agree to indemnify, defend, and hold harmless Verafy Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in connection with:
Verafy shall not be liable for any failure or delay in providing the platform or its services where such failure or delay results from circumstances beyond our reasonable control, including but not limited to:
In such circumstances, Verafy will endeavour to restore service as quickly as reasonably practicable. No refunds or service credits will be due for outages attributable to force majeure events.
The Verafy platform, its software, design, branding, and scoring methodology are the exclusive intellectual property of Verafy Ltd. You are granted a limited, non-exclusive, non-transferable licence to use the platform for your own internal business purposes only.
You may download and share PDF reports generated by the platform for internal due diligence purposes. You may not republish or commercialise them without written consent from Verafy Ltd.
Feedback and suggestions. If you submit any feedback, bug reports, feature requests, or other suggestions regarding the platform, you grant Verafy Ltd a perpetual, irrevocable, royalty-free licence to use, reproduce, modify, and incorporate that feedback into the platform or any other product, without any obligation to compensate you or acknowledge the contribution.
Verafy Ltd may assign, transfer, or sub-contract any of its rights or obligations under these terms at any time, including in connection with a merger, acquisition, or sale of all or part of its business, without notice to you.
You may not assign, transfer, or sub-licence your rights under these terms or your account to any third party without the prior written consent of Verafy Ltd.
Verafy reserves the right to suspend or terminate your account at any time if you breach these terms, engage in fraudulent activity, or use the platform in a manner that causes harm to others or to Verafy Ltd.
Account inactivity. If your account shows no login activity for a continuous period of 12 months or more, Verafy may send a notice to your registered email address and, if no response is received within 30 days, delete the account and all associated data. This does not affect any active paid subscription, which must be cancelled separately before inactivity deletion can apply.
You may close your account at any time by contacting support@verafy.uk.
If any provision of these terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severed from these terms and the remaining provisions shall continue in full force and effect.
These terms, together with our Privacy Policy, constitute the entire agreement between you and Verafy Ltd in relation to your use of the platform and supersede all prior representations, agreements, or understandings, whether written or oral.
Any failure by Verafy to enforce any provision of these terms shall not constitute a waiver of our right to enforce that provision at a later time.
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
We may update these terms from time to time. We will notify you of material changes by email or by displaying a notice on the platform. Continued use of Verafy after changes constitutes your acceptance of the updated terms.
